Capital régional et coopératif Desjardins is a publicly-traded company that was created on the initiative of the Mouvement des caisses Desjardins. Managed by Desjardins Venture Capital, the development capital fund manager for the Mouvement des caisses Desjardins, Capital régional et coopératif Desjardins is rapidly becoming a major player on the Québec development capital scene.

A brief overview of the Company 

2001

  • June 21 - Adoption by the National Assembly of Québec of the Act constituting Capital régional et coopératif Desjardins (R.S.Q. 2001, chapter C-6.1). 
  • July 1 - Effective date of the Act constituting Capital régional et coopératif Desjardins. 
  • October 4 - First meeting of the Board of Directors and confirmation of the appointment of Mr. Luc Chabot to the position of President and General Manager. 
  • October 12 - Issuance by the Commission des valeurs mobilières du Québec of the receipt for the first (October 10, 2001) prospectus concerning the common share distribution totalling $300 million. 
  • October 30 - Official launch of the first issue of Desjardins Capital régional et coopératif shares. 
  • November 5 - Start of distribution of Capital régional et coopératif Desjardins shares in 806 caisses Desjardins. 
  • December 31 - Closure of the first issue of shares, resulting in the raising of nearly $80 million from more than 35,000 investors, after 7 weeks of capital-raising. 

 

2002

  • January 1 - Start of distribution of the second issue of Capital régional et coopératif Desjardins shares.
  • February - Beginning of development capital investment activities. 
  • April 19 - First Annual General Meeting of Shareholders of Capital régional et coopératif Desjardins. 
  • July 16 - Announcement concerning the extension of the share acquisition period to February 28, 2003. 
  • August 16 - Announcement confirming the share value has been maintained at $10.00 as of June 30, 2002. Investments in 27 companies are confirmed. The net assets are valued at $115 million and the number of shareholders has climbed to 44,102. 
  • October 11 - Issuance by the Commission des valeurs mobilières du Québec of the receipt for the October 10, 2002 prospectus concerning the common share distribution. 
  • October 25 - Shipment to shareholders of the first Semi-annual Report as of June 30, 2002.
  • December 31 - The number of shareholders has climbed to 72,105 and the share capital is totalling $208 million.

 

2003

  • February 7 - Announcement of the rise in share price to $10.12, following the adoption of the financial statements as of December 31, 2002. The new share price will become effective March 3, 2003 at noon.
  • February 28 - End of the 2001 and 2002 share issue, after 14 months of capital-raising.
  • March 1 - Start of distribution of the third issue of Capital régional et coopératif Desjardins shares.
  • March 28 - Second Annual General Meeting of Shareholders of Capital régional et coopératif Desjardins. 
  • June 12 - The Government reduces the authorized capitalization of the 2003 share offer to $75 million.
  • August 18 - Announcement of the rise in share price to $10.24, following the adoption of the financial statements as of June 30, 2003. The new share price becomes effective August 18, 2003 at noon.
  • September 9 - End of the 2003 share issue, after 6 months of capital-raising.
  • December 31 - The number of shareholders has climbed to 104,943 and the share capital is totalling $372 million.

 

2004

  • February 10 - Announcement of the rise in share price to $10.25, following the adoption of the financial statements as of December 31, 2003. The new share price becomes effective March 1, 2004.
  • February 16 - Issuance by L'Autorité des marchés financiers (Commission des valeurs mobilières du Québec) of the receipt for the February 13, 2004 prospectus concerning the common share distribution. 
  • February 23 - The Government imposes a moratorium on Desjardins Capital régional et coopératif' 2004 share issue.
  • March 26 - Third Annual General Meeting of Shareholders of Capital régional et coopératif Desjardins. 
  • March 30 - The Government lifts the moratorium on the 2004 share issue of Capital régional et coopératif Desjardins and reduces the authorized capitalization to $100 million.
  • April 19 - Start of distribution of the fourth issue of Capital régional et coopératif Desjardins shares. 
  • May 7 - End of the 2004 share issue, after 3 weeks of capital-raising.
  • August 13 - Announcement confirming the share value has been maintained at $10.25, following the adoption of the financial statements as of June 30, 2004.
  • December 31 - The number of shareholders has climbed to 111,070 and the share capital is totalling $473 million.

 

2005

  • January 26 - Issuance by L'Autorité des marchés financiers of the receipt for the February 10, 2005 prospectus concerning the common share distribution.
  • February 10 - Announcement that the share price of $10.25 is maintained, following the adoption of the financial statements as of December 31, 2004.
  • March 11 - The Government reduces the authorized capitalization to $100 million.
  • March 15 - Start of distribution of the fifth issue of Capital régional et coopératif Desjardins shares.  
  • March 22 - End of the 2005 share issue, after only 1 week of capital-raising.
  • April 1 - Fourth Annual General Meeting of Shareholders of Capital régional et coopératif Desjardins. 
  • August 18 - Announcement of the rise in share price to $10.30, following the adoption of the financial statements as of June 30, 2005.
  • December 31 - The number of shareholders has climbed to 115,456 and the share capital is totalling $572 million.

 

2006

  • February 8 - Announcement of the rise in share price to $10.37, following the adoption of the financial statements as of December 31, 2005. The new share price becomes effective February 9, 2006, at noon.
  • February 22 - The Government imposes a moratorium on Capital régional et coopératif Desjardins' 2006 share issue.
  • March 23 - The Government lifts the moratorium and the authorized capitalization is set to $150 million for the 2006 share issue of Capital régional et coopératif Desjardins. The official date for the distribution of shares has not yet been set.
  • March 24 - Fifth Annual General Meeting of Shareholders of Capital régional et coopératif Desjardins.
  • May 30- Start of distribution of the sixth issue of Capital régional et coopératif Desjardins shares.
  • August 8 - Announcement of a decrease in share price to $10.21, following the adoption of the financial statements as of June 30, 2006.
  • December 31 - The number of shareholders has climbed to 118,250 and the share capital is totalling $650 million.

2007

  • February 7 - Announcement that the share price of $10.21 is maintained, following the adoption of the financial statements as of December 31, 2006.
  • March 1 - Start of distribution of the seventh issue of Capital régional et coopératif Desjardins shares.
  • March 30 - Sixth Annual General Meeting of Shareholders of Capital régional et coopératif Desjardins.
  • August 17 - Following the adoption of the financial statements as of June 30, 2007, the share value is set at $9.92.
  • November 9 - Issuance of an information bulletin by the government of Québec. New Québec Government provisions ackowledge achievements of the Company since inception. Temporary suspension of the sale of shares.
  • December 5 - Resumption of the sale of shares for the 2007 issue.
  • December 10 - End of the 2007 share issue.
  • December 31 - The number of shareholders has climbed to 120,652 and the share capital is totalling $750 million.

 

2008

  • February 14 - Following the adoption of the financial statements as of December 31 2007, the share value is set at $9.89.
  • March 18 - Start of distribution of the eighth issue of Capital régional et coopératif Desjardins shares.
  • March 28 - Seventh Annual General Meeting of Shareholders of Capital régional et coopératif Desjardins.
  • August 19 - Following the adoption of the financial statements as of June 30, 2008, the share value is set at $9.83.
